What is the difference between an invoice and msrp price on an auto?

I need to explain the difference in a training for Loan Processors. I want to give the definition of each so they know the difference.

In Buying & Selling > Car Values
In Buying & Selling > True Market Value (TMV)

MSRP, or the manufacturers suggested retail price, is just that, a suggestion that the seller (dealers) should sell the vehicle for.

Invoice is basically what the dealer pays for the vehicle, though it's not really. Incentives and rebates and holdbacks to the dealer actually make that lower than invoice.
